1. Agreement to these terms
These Terms of Use (“Terms”) form a binding agreement between you and ezCstore Accounting (“ezCstore,” “we,” “us,” or “our”) governing access to and use of our websites, applications, APIs, and related services (the “Services”). By creating an account, signing in, inviting users, submitting location or billing information, enabling integrations, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.
If you do not agree, do not use the Services. We may change these Terms from time to time; we will post the updated Terms on this page and update the “Last updated” date. Material changes may require additional notice where the law requires. Continued use after changes become effective constitutes acceptance of the revised Terms.
2. The Services
The Services provide accounting, operational, reporting, and related tools for retail fuel and convenience businesses, including multi-location workflows, billing features, and optional integrations. Features, availability, and pricing may vary by plan, location, and platform configuration. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
3. Accounts and security
You are responsible for maintaining the confidentiality of credentials for your account and for all activity under your account, except to the extent caused by our gross negligence or willful misconduct. You must provide accurate registration and billing information and keep it current. You must notify us promptly of any unauthorized access or security incident affecting your account.
4. Fees, trials, and billing
Paid features are billed according to the rates and billing periods presented in the product, on the marketing site, or in an order form or invoice agreed with you or your organization. Trials, if offered, convert to paid subscriptions or deactivate according to platform rules communicated in the product. Taxes may apply. Payments may be processed by third-party processors (for example, Stripe); their terms and privacy notices also apply to payment transactions they handle.
Failure to pay when due may result in suspension or termination of access, subject to applicable law and any cure period we communicate.
5. Third-party services and Modisoft
The Services may interoperate with third-party systems (for example, Modisoft for point of sale or back-office data). Those third parties are independent; their websites, terms, and privacy policies govern your relationship with them. When you provide integration credentials (such as a Modisoft username and password), you represent that you have all rights and consents necessary for us to use those credentials solely to perform the integration features you enable—for example, to retrieve sales, purchases, and related operational data you have authorized.
We are not responsible for third-party availability, accuracy, delays, or changes to their APIs or products. You are responsible for complying with third-party terms and for any fees or obligations you owe to them.
6. Acceptable use
You agree not to:
- Use the Services in violation of law or regulation;
- Attempt to gain unauthorized access to the Services, other accounts, or our systems;
- Introduce malware, overload infrastructure, or interfere with other users;
- Reverse engineer, decompile, or attempt to extract source code except where prohibited law allows;
- Use the Services to build a competing product by systematic scraping or extraction of non-exported data;
- Misrepresent your identity or affiliation.
We may investigate violations and suspend or terminate access for conduct we reasonably believe violates these Terms or creates risk.
7. Your data and licenses
You retain ownership of data you submit to the Services. You grant us a non-exclusive license to host, process, transmit, display, and otherwise use that data as needed to provide, secure, and improve the Services and as described in our Privacy Policy. You are responsible for the legality and accuracy of data you submit and for obtaining any consents required from individuals whose data you provide.
8. Intellectual property
The Services, including software, branding, documentation, and design, are owned by ezCstore or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services during your subscription or trial, these Terms grant you no ownership or license to our intellectual property.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that data retrieved from integrations will be complete or accurate.
We are not responsible for any lost, corrupted, altered, delayed, or unavailable data, including data from Modisoft or other integrations, banking feeds, or user entry. You are responsible for maintaining appropriate backups and business records. Nothing in these Terms limits liability where the law does not allow such limitations.
10. Limitation of liability
To the fullest extent permitted by applicable law, in no event will ezCstore or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, or other intangible losses, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100), if you have not had payment obligations during that period.
11. Indemnity
You will defend, indemnify, and hold harmless ezCstore and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your data, your violation of these Terms, or your violation of third-party rights, except to the extent caused by our gross negligence or willful misconduct.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment where applicable, risk to security or other users, or as required by law. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnity, and governing law) will survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the United States and the State in which ezCstore Accounting principally operates, excluding conflict-of-law rules that would apply another jurisdiction’s laws. Courts in that State (or the federal courts located there, where jurisdiction exists) have exclusive jurisdiction over disputes arising from these Terms or the Services, unless a different mandatory forum applies under applicable consumer protection law for individual consumers.
14. General
These Terms, together with the Privacy Policy and any order form or written agreement referencing these Terms, constitute the entire agreement regarding the subject matter. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
